Thank you for using MonsterLab and ClipIt!
These Terms of Service ("Terms") govern your use of the MonsterLab platform, the ClipIt content monetization program, and all related websites, applications, and APIs (collectively, the "Services"). These Terms form an agreement between you and the Company ("we," "us," or "our"). "MonsterLab" and "ClipIt" are licensed trade names of the Company. By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
01Who We Are
The Company builds and operates technology services — including the ClipIt content monetization platform, proxy management tools, automation services, and related products. Our mission is to give creators and operators a powerful, fair platform to earn from the content they create and distribute. The availability and features of the Services may change at any time at our sole discretion.
02Registration & Access
You must be at least 18 years of age to use the Services. By creating an account, you represent that you meet this requirement and that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Access to the ClipIt submission system requires a linked Discord account. Failure to maintain a valid Discord connection may restrict your access to ClipIt features. The Company reserves the right to terminate or suspend any account at any time, for any reason or no reason, at its sole discretion, with or without notice and without obligation to you.
By creating an account and using the Services, you consent to receive electronic communications from the Company, including account notices, transaction confirmations, policy updates, and moderation actions. Electronic communications satisfy any legal requirement that such communications be in writing.
2A. Passkey Authentication
The Services support FIDO2/WebAuthn passkey authentication as an alternative to password-based login. When you register a passkey, a cryptographic public key is stored on the Company's servers and linked to your account. The corresponding private key remains on your device and is never transmitted to or stored by the Company. You are solely responsible for maintaining access to your registered devices and authenticators. If you lose access to all registered passkey devices and have no other login method configured, the Company may be unable to recover access to your account. You may register, manage, and delete your passkeys at any time through your account settings. Registered passkeys are permanently deleted upon account closure.
2B. Multi-Factor Authentication
The Services support time-based one-time password (TOTP) multi-factor authentication ("MFA"). When you enable MFA, a shared secret is stored securely on the Company's servers and used to validate authentication codes generated by your authenticator application. You are solely responsible for maintaining access to your authenticator application and any backup codes generated at setup time. The Company does not store recovery codes after they are displayed at setup and cannot restore access to an account if you lose both your authenticator device and your backup codes. MFA secrets are permanently deleted upon account closure.
2C. Marketing & Broadcast Communications
The Company may send you communications through email, Discord direct messages, and other channels — including transactional notices, campaign invitations, onboarding messages, and promotional or broadcast messages about the Services — and may use third-party providers to deliver them. Where required by law, promotional messages will include a means to opt out. Transactional and account-related communications are a necessary part of the Services and cannot be opted out of while your account remains active.
2D. Sanctions & Eligibility
You represent and warrant that you are not, and are not acting on behalf of, any person that is (i) located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive economic sanctions or embargoes; or (ii) identified on any sanctions or restricted-party list maintained by the U.S. government (including the U.S. Treasury Office of Foreign Assets Control's Specially Designated Nationals and Blocked Persons List), the United Nations, the European Union, or any other applicable authority. You agree not to use the Services in violation of any applicable export-control or economic-sanctions law. The Company may, at its sole discretion and without liability, refuse, suspend, freeze, delay, or reverse any account, transaction, or payout, and may withhold any funds, that it believes may violate, or create a risk of violating, any sanctions or export-control law, and may terminate your account and forfeit associated benefits on this basis. This provision survives termination of your account.
2E. Identity Verification
The Company may require you to verify your identity at any time and at its discretion, including to participate in certain campaigns, programs, or features, to receive payouts, or where it suspects fraud or a duplicate account, and may require re-verification at any time. If you verify, you agree to present a genuine, valid, government-issued identification document that belongs to you and to answer truthfully. If you decline or fail verification, the Company may suspend, restrict, or terminate your account or your participation in any campaign, program, or feature. Verification is handled as described in our Privacy Policy and may change at any time without notice.
2F. Sharing with Clients
The Company operates campaigns with, and on behalf of, businesses ("Clients"). You acknowledge and agree that the Company may share information about you and your use of the Services with Clients — including your profile, legal name, contact details, verification status, linked accounts, submitted content, campaign participation, performance, and earnings data, and other information described in our Privacy Policy — and that this information may be transferred to and processed in the countries where Clients operate. Where applicable law requires additional consent, the Company will request it.
03Using the Services
You may use the Services only in accordance with these Terms and all applicable laws. The following rules apply specifically to the ClipIt program. Violation of any rule will result in account suspension, permanent ban, and forfeiture of all pending earnings, at the Company's sole discretion.
3A. Account Ownership
You may only submit clips from social media accounts that are verified and registered under your MonsterLab account. You may not submit clips on behalf of third parties or from accounts you do not own or control. A verified identity may be associated with only one account. Where verification shows that an identity is associated with more than one account, the Company may treat each such account as a violation of this Section.
3B. No Duplicate Submissions
Each piece of content may only be submitted once across the platform, regardless of URL format or variation. Attempting to circumvent duplicate detection through URL manipulation, link shorteners, or any other means is a material breach of these Terms.
3C. No Artificial Engagement
You may not use bots, scripts, paid engagement services, or any artificial means to inflate views, likes, watch time, shares, or any other engagement metric of submitted content. The Company actively monitors for engagement anomalies. Earnings derived from artificially inflated content are void and forfeited in full. Your account will be subject to permanent ban at the Company's sole discretion.
3D. Submission Rate Limits
Submissions are subject to rate limits that the Company sets and enforces at its sole discretion. These limits govern how frequently and how many clips you may submit within a given period. The specific thresholds are not published and may be changed, tightened, or removed at any time without notice. Exceeding an applicable rate limit may result in rejected submissions, temporary restriction, or account action.
3E. Platform Content Policies
All submitted content must comply with the content policies of the originating platform (TikTok, YouTube, Instagram, Facebook, X/Twitter). The Company is not responsible for content removed or demonetized by third-party platforms, and removal by a third-party platform does not entitle you to payment for that content.
3F. Right to Audit
The Company reserves the right to audit any submission at any time, including verifying account ownership, engagement authenticity, and compliance with campaign requirements. Failure to cooperate with an audit will result in immediate account suspension and full earnings forfeiture.
3G. Copyright & Intellectual Property Complaints
If you believe that content submitted through the Services infringes your copyright or other intellectual property rights, direct your notice to [email protected] with a description of the claimed infringement and the relevant content. The Company will review reports and take action at its sole discretion. Submission of a copyright complaint does not guarantee any particular outcome and does not obligate the Company to respond.
3H. Platform Security & No Circumvention
You may not access or attempt to access any portion of the Services by any means other than the interfaces provided by the Company. You may not scrape, crawl, index, or extract data from the Services through automated means. You may not probe, scan, or test the vulnerability of any system or network associated with the Services, nor attempt to circumvent any security, authentication, rate-limiting, or access control mechanism. Violations of this clause will result in immediate account termination and may be referred to law enforcement.
3I. Proxy & API Usage Limits
Access to the Company's proxy and API services is subject to usage limits based on your active Plan or Credit balance. These limits include, but are not limited to, request rate limits, concurrent connection limits, and bandwidth allocations. Current limits are displayed in your account dashboard and are subject to change at any time. Exceeding your usage limits may result in automatic throttling, temporary suspension of proxy or API access, or additional charges drawn from your Credit balance, depending on your Plan configuration.
3J. Fair Use & Abuse
You may not use the proxy or API services for purposes that are abusive, unlawful, or that impose unreasonable load on the Company's infrastructure, including but not limited to credential stuffing, large-scale scraping of protected systems, distributed denial-of-service amplification, or circumventing third-party access controls. The Company reserves the right to suspend or terminate proxy and API access — without refund of unused Credits — for any account it determines, at its sole discretion, to be engaged in abusive or prohibited usage.
3K. API Key Access
The Company may issue API keys that allow programmatic access to certain Services. API keys are personal to your account — you may not share, sell, publish, or transfer your API key to any third party. You are solely responsible for all activity conducted through your API key. If you believe your API key has been compromised, you must notify the Company immediately at [email protected]. The Company reserves the right to revoke any API key at any time without notice.
3L. API Key Usage
Programmatic access via API key is subject to the same usage limits, acceptable use requirements, and Terms applicable to browser-based access. The Company does not guarantee uptime, API stability, or backwards compatibility of any API endpoints. Breaking changes to the API may be made at any time without notice. The Company is not liable for any damage resulting from changes to or unavailability of any API endpoint.
3M. Account Verification & Automated Submission
To verify that you own a social media account, the Company may require you to place a verification code in the account's public profile, which the Company confirms by accessing that public profile. The Services also offer optional features that, once you connect a verified account, periodically and automatically monitor that account to discover and submit your new posts to campaigns on your behalf. By enabling these features, you authorize the Company to access and poll your connected account on a recurring basis for this purpose until you disable the feature or disconnect the account.
04Your Content
The Services allow you to submit and transmit content. By submitting content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute that content solely for the purpose of providing the Services. You represent and warrant that you own or have all necessary rights to the content you submit, and that your content does not violate any third party's rights or any applicable law. This license does not extend to identification documents you present during verification. The license includes the right to share your content with Clients and other recipients described in our Privacy Policy.
Public Display of Your Content and Activity
The Services include public and semi-public features — including campaign leaderboards and "Top Clips" or similar showcases — that display submitted content and account activity to other users. By using the Services, you consent to the display of: (i) your obfuscated account handle alongside your rankings, view counts, and estimated earnings on leaderboards visible to other users; and (ii) clips you submit, which may be re-published within the platform in showcases of top-performing content. The Company applies automated redaction to showcased clips in an effort to obscure source-identifying marks such as logos, watermarks, and handles, but does not guarantee that all identifying information will be removed. You grant the Company all rights necessary to display your content and activity in these features.
Analysis & Development
You grant the Company a perpetual, irrevocable, worldwide, royalty-free right to use the data and content collected through your use of the Services — in identifiable, aggregated, or de-identified form — for its own internal analysis and research and for the development, improvement, and creation of its products, services, and technologies. The Company exclusively owns all insights, analytics, aggregated or de-identified datasets, and other developments derived from such use. This use creates no obligation to you of any kind; you are not entitled to any compensation, attribution, ownership interest, or other consideration in connection with it.
05Payments & Billing
You agree to pay all fees associated with your use of the Services at the rates presented to you at the time of purchase. The Company reserves the right to modify pricing at any time.
ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. THE COMPANY DOES NOT PROVIDE REFUNDS FOR ANY REASON, INCLUDING BUT NOT LIMITED TO SERVICE INTERRUPTIONS, USER ERROR, OR DISSATISFACTION. BY COMPLETING A PURCHASE, YOU EXPRESSLY WAIVE ANY RIGHT TO A REFUND.
5A. What Credits Are
Certain Services — including proxy access and API usage — are billed against a prepaid credit balance ("Credits"). Credits are a limited, non-monetary unit of account used solely within the MonsterLab platform. Credits have no cash value, cannot be exchanged for currency, and do not constitute property of any kind.
5B. Purchasing Credits
Credits may be purchased through the billing section of your account dashboard at the rates displayed at the time of purchase. All Credit purchases are final and non-refundable. The Company reserves the right to change Credit pricing, package sizes, and availability at any time without notice.
5C. Welcome Credits
The Company may, at its sole discretion, grant a one-time complimentary Credit allocation ("Welcome Credits") to new accounts upon successful registration and email verification. Welcome Credits are subject to the same non-cash, non-transferable terms as purchased Credits. Welcome Credits are a promotional incentive only — they are not guaranteed, may be modified or discontinued at any time, and confer no contractual right to any service level or minimum balance. The Company reserves the right to revoke Welcome Credits from any account it determines to have registered fraudulently, in bad faith, or in violation of these Terms.
5D. Non-Transferability & Expiry
All Credits — including purchased Credits, promotional and Welcome Credits, and Credits arising from Plan cancellation prorations — are non-transferable, may only be used by the account to which they are allocated, and may not be sold, gifted, or otherwise conveyed to any third party. Except where the mandatory law of your jurisdiction of residence prohibits it, all Credits expire after 12 consecutive months of account inactivity, and the Company may set, shorten, or extend expiry periods for any category of Credits at any time without notice. Expired Credits are forfeited without compensation and have no cash value.
5E. Credits on Termination
Upon account suspension or termination for any reason — including voluntary closure, violations of these Terms, or Company-initiated action — all remaining Credits (purchased, promotional, or proration) are immediately forfeited without compensation, and the Company has no obligation to refund, convert, or transfer any unused Credit balance upon termination. Where a refund of unused prepaid value is required by the mandatory law of your jurisdiction of residence, the Company may deduct and set off any fees you owe, chargebacks, and losses arising from your violation of these Terms, and may withhold any refund pending investigation of a suspected violation.
5F. Subscription Plans
The Services offer recurring subscription plans ("Plans") that grant access to specific features, usage tiers, or proxy allocations during the subscription period. Plans are billed on a monthly or annual basis, as selected at the time of purchase, at the rates displayed at checkout.
5G. Auto-Renewal
All Plans automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. Automatic renewal is a standard and essential term of every Plan; by subscribing, you acknowledge and accept that your Plan will renew automatically, and you authorize the Company to charge your payment method on file at each renewal without further action from you and without any obligation on the Company to provide advance notice or a renewal reminder. Once a renewal charge has been made, it is final and is not refundable in cash; if you cancel, any proration for the unused portion of the billing period is provided solely as Credits in accordance with Section 5H (Cancellation).
5H. Cancellation
You may cancel your Plan at any time through your account dashboard. When you cancel, the Company calculates the unused, prorated portion of the fees paid for the current billing period and adds that amount to your Credit balance as platform Credits. These Credits are non-cash and non-refundable and are governed by the Credit terms set out in this Section 5, including those on non-transferability, expiry, and forfeiture upon account termination. No cash refund or monetary proration is issued for a cancelled Plan — the prorated value is provided solely in the form of Credits, which have no cash value and cannot be exchanged for currency.
5I. Plan Changes
Upgrading your Plan takes effect immediately; you will be charged a prorated amount for the remainder of the current billing period. Downgrading your Plan takes effect at the start of the next billing period.
5J. Price Changes
The Company may change Plan pricing at any time. A revised price applies to your subscription beginning with the next billing period after the change takes effect. The Company is under no obligation to provide individual or advance notice of a price change, but may notify you at its sole discretion. Your continued subscription after a price change takes effect constitutes acceptance of the new pricing. If you do not accept the new price, you must cancel before it takes effect.
5K. Cryptocurrency Payments
The Company accepts payment via cryptocurrency through its third-party payment processor, NOWPayments. By initiating a cryptocurrency payment, you acknowledge and agree that: (i) all cryptocurrency transactions are irreversible — the Company cannot refund, reverse, or recover any payment once it has been broadcast to the blockchain; (ii) Credits are allocated based on the USD equivalent of the amount received at the time the transaction is confirmed, after any network fees; (iii) cryptocurrency exchange rates fluctuate and the Company is not responsible for any difference between the rate at the time you initiated payment and the rate at the time of confirmation; (iv) the Company is not responsible for lost funds resulting from incorrect wallet addresses, network congestion, or payment processor errors. All cryptocurrency payments are subject to NOWPayments' terms of service. By using this payment method, you accept full responsibility for the risks inherent to cryptocurrency transactions.
5L. Promotional Codes & Discounts
The Company may issue promotional codes, discount codes, or other incentive offers ("Promo Codes") from time to time. Promo Codes are subject to the following conditions unless otherwise stated at the time of issuance: (i) each Promo Code is single-use and may only be applied once per account; (ii) Promo Codes are non-transferable and have no cash value; (iii) Promo Codes may not be combined with other offers unless explicitly permitted; (iv) Promo Codes cannot be applied retroactively to completed purchases; (v) Promo Codes expire on the date stated, or if no date is stated, at the Company's discretion; (vi) the Company reserves the right to revoke any Promo Code at any time if it determines the code was obtained or used fraudulently or in violation of these Terms.
06ClipIt Earnings & Payouts
6A. Payout Rates
Earnings are calculated at the campaign payout rate in effect at the time of clip submission ("Snapshot Rate"). Rates may change at any time for future submissions and do not retroactively affect clips already submitted.
6B. Minimum Payout Threshold
You must accumulate a minimum balance of $50.00 USD before requesting a payout. The Company reserves the right to modify this threshold at any time.
6C. Processing Fees
A processing fee of 5% of the payout amount — with a minimum of $3.00 USD — will be deducted from each payout. Fees are subject to change at any time without notice.
6D. Identity Verification (KYC)
Payouts require completed identity verification ("KYC") through our payment processor. The Company may, at its sole discretion, approve manual payout arrangements for users who cannot complete standard verification. Such arrangements are not guaranteed and are subject to additional review. Payout verification is separate from verification under Section 2E; completing one does not necessarily satisfy the other.
6E. Processing Time
Payout requests are processed within 5–15 business days, subject to payment processor timelines. The Company is not liable for delays caused by third-party processors.
6F. Forfeiture for Violations
Earnings generated through fraudulent submissions, view manipulation, account impersonation, submission of content you do not own, or any violation of these Terms are void and will not be paid out. The Company reserves the right to audit submission history at any time and reverse any earnings found to be invalid, regardless of prior payout status.
6G. Taxes
You are solely responsible for all taxes, duties, and levies on amounts you receive from the Company. The Company does not withhold taxes. The Company may require tax documentation at any time as a condition of payout processing.
6H. No Earnings Guarantee
The Company makes no guarantee of any minimum level of earnings, continued campaign availability, or specific payout rates at any time. Campaigns may be modified, paused, or discontinued at any time at the Company's sole discretion. Past earnings within the platform are not indicative of future results. Participation in the ClipIt program does not guarantee income of any kind.
6I. Cash Wallet
ClipIt earnings accumulate in a separate cash balance ("Cash Wallet") that is distinct from your Credit balance. The Cash Wallet reflects your verified, platform-confirmed earnings and is subject to the minimum payout threshold, KYC requirements, processing fees, and all other terms set out in this Section 6. The Cash Wallet balance is not a bank account, does not accrue interest, and is not insured by the FDIC or any government entity.
6J. Funds Transfer to Credits
You may elect to convert available Cash Wallet funds into platform Credits at the then-current conversion rate displayed in your dashboard. Funds transferred to Credits are immediately and irrevocably converted — they cannot be transferred back to the Cash Wallet or paid out via Stripe. The minimum transfer amount and any applicable conversion conditions are displayed at the time of transfer and are subject to change.
6K. Cash Wallet on Account Closure
Upon account closure — whether voluntary or Company-initiated — any Cash Wallet balance below the $50.00 minimum payout threshold is forfeited. Balances at or above the threshold are subject to a final review period of up to 30 days, after which a payout will be issued net of applicable fees, provided KYC is complete. The Company reserves the right to withhold balances pending investigation of any suspected policy violation.
6L. Partial Forfeiture & Payout Reductions
The Company may, at its sole discretion, reduce, adjust, deduct from, or withhold all or any portion of your earnings, pending balance, Cash Wallet, or payout as a penalty for, or remedy in respect of, any violation of these Terms or any conduct the Company deems fraudulent, abusive, or otherwise improper — whether or not it also suspends, restricts, or bans your account. A reduction or withholding under this provision does not require an account suspension or ban and may be applied in addition to, or instead of, any other remedy available to the Company. The Company is not obligated to provide advance notice of, or an itemized explanation for, any such reduction or withholding.
07Brand Partner Program
The Company operates a brand advertising program (the "Brand Program") that allows businesses to apply to sponsor ClipIt campaigns. By submitting a brand application through the Company's website, you — on behalf of yourself or your organization — provide the following information to the Company: your name, email address, company name, product or service category, monthly view estimates, CPM budget range, and any additional notes you choose to include. This information is collected solely for the purpose of evaluating your application and facilitating a potential commercial relationship.
Submission of a brand application does not guarantee acceptance into the Brand Program, a response from the Company, or any specific campaign arrangement. The Company reserves the right to accept or reject any application at its sole discretion without explanation. Brand applications and associated contact information are retained by the Company for business purposes, are not shared with ClipIt users, and may otherwise be shared as described in our Privacy Policy. Brands admitted to the Brand Program are Clients for the purposes of Section 2F.
08Termination & Suspension
The Company may suspend, restrict, or permanently terminate your account and your access to the Services at any time, for any reason or for no reason, with or without cause, and with or without notice, at its sole and absolute discretion. The Company shall have no liability to you or to any third party for any such suspension, restriction, or termination. The grounds described below are illustrative examples only and do not limit the Company's right to act under this clause.
8A. Grounds for Action
The Company may suspend or permanently ban your account for violations including but not limited to: (i) submitting clips you do not own; (ii) artificially inflating engagement metrics; (iii) submitting duplicate or previously monetized content; (iv) circumventing platform detection or rate limits; (v) providing false identity or account information; (vi) refusing or failing verification when it is required, presenting a forged, altered, expired, or another person's identification document, or misrepresenting your identity; (vii) a verified identity matching a previously banned account; (viii) any activity the Company, in its sole discretion, deems fraudulent, abusive, or harmful to the platform or its users.
8B. Earnings Forfeiture on Permanent Ban
Upon a permanent ban, all pending, unprocessed, and unreleased earnings are forfeited without exception. The Company reserves the right to reverse, claw back, or withhold any payouts associated with submissions made prior to or during any violation. This clause survives termination of your account.
8C. Temporary Restrictions
The Company may impose temporary submission restrictions ("timeouts") for minor or first-time violations. During a timeout, your account remains active but submissions are blocked until the restriction expires. Timeouts do not affect your existing wallet balance unless the Company determines the underlying conduct warrants further action.
8D. No Appeal Obligation
The Company is not obligated to provide an appeals process, explanation, or response regarding any moderation decision. All decisions are final and binding. Contact at [email protected] does not constitute an appeal, does not obligate the Company to respond, and does not suspend or stay any account action.
09Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Identity verification is a reasonable-efforts review. The Company does not warrant the identity, eligibility, or conduct of any user, to you or to any Client or other third party.
10Limitation of Liability
IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
11Indemnification
You agree to indemnify, defend (at the Company's election), and hold harmless the Company, its officers, directors, employees, and agents from all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (i) your use of the Services; (ii) content you submit; (iii) your violation of these Terms; (iv) your violation of any third party's rights; or (v) false or misleading information you provide. Upon the Company's request, you will assume control of the defense of any such claim at your own expense.
12Finality & Legal Protections
12A. Final Authority
ALL DECISIONS MADE BY THE COMPANY REGARDING YOUR ACCOUNT — INCLUDING MODERATION ACTIONS, BANS, TIMEOUTS, PAYOUT APPROVALS, EARNINGS CALCULATIONS, AND FRAUD DETERMINATIONS — ARE FINAL AND MADE AT THE COMPANY'S SOLE AND ABSOLUTE DISCRETION. THE COMPANY IS NOT OBLIGATED TO PROVIDE REASONS, NOTICES, HEARINGS, OR APPEALS FOR ANY SUCH DECISION.
12B. No Dispute Resolution
YOU EXPRESSLY WAIVE ANY RIGHT TO FORMAL DISPUTE RESOLUTION, MEDIATION, OR ARBITRATION IN CONNECTION WITH ANY DECISION MADE BY THE COMPANY UNDER THESE TERMS. THE COMPANY'S OPERATIONAL DECISIONS REGARDING ACCOUNT ACCESS AND PLATFORM PARTICIPATION ARE WITHIN ITS EXCLUSIVE PURVIEW AND ARE NOT SUBJECT TO EXTERNAL REVIEW.
12C. Limitation of Claims
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE FILED WITHIN 30 DAYS OF THE EVENT GIVING RISE TO IT. CLAIMS NOT FILED WITHIN THIS PERIOD ARE PERMANENTLY BARRED. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE LESSER OF (i) $100 USD OR (ii) THE TOTAL EARNINGS CREDITED TO YOUR ACCOUNT IN THE 30 DAYS PRIOR TO THE EVENT.
12D. No Class Actions
YOU WAIVE ANY RIGHT TO PARTICIPATE IN OR RECEIVE RELIEF THROUGH A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST THE COMPANY.
13General Terms
Independent Contractor
Your participation in the ClipIt program does not create an employment, partnership, joint venture, or agency relationship. You are an independent contractor. The Company is not responsible for taxes, insurance, or benefits associated with amounts you earn through the platform.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior or contemporaneous communications — oral, written, or electronic — relating to their subject matter.
Severability
If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. All remaining provisions continue in full force and effect.
Waiver
No failure or delay by the Company to exercise any right under these Terms constitutes a waiver of that right. No single or partial exercise of any right precludes further exercise of that or any other right.
Assignment
The Company may assign or transfer these Terms, in whole or in part, to any successor entity or third party at any time without notice to you. You may not assign or transfer any rights or obligations under these Terms without the Company's prior written consent. Any attempted assignment by you without such consent is void and of no effect.
Feedback
If you submit feedback, suggestions, ideas, or other input regarding the Services, you grant the Company an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate that feedback — including any screenshots or images you attach — into the Services or any other product or service, without compensation or attribution to you. The Company has no obligation to act on any feedback you provide.
Governing Law & Jurisdiction
These Terms shall be construed under the laws of the state in which the Company is organized. The parties expressly disclaim any right to bring any proceeding arising under these Terms. To the extent any proceeding is not otherwise barred, it must be brought exclusively in the courts of that state, and you irrevocably submit to the jurisdiction of those courts.
Changes to These Terms
The Company may modify these Terms at any time. Any change becomes effective when the updated Terms are posted on this page with a revised "Last Updated" date, and your continued use of the Services after that date constitutes your acceptance of the updated Terms. The Company is under no obligation to provide individual or advance notice of any change, but may, at its sole discretion, notify you by email or other means. You are responsible for reviewing these Terms periodically. If you do not agree to any change, you must stop using the Services.
